Palo Alto Networks Negotiates $500 Million Acquisition of AI Security Startup Clutch

Palo Alto Networks is negotiating a $500 million cash acquisition of Clutch Security, a company specializing in controlling AI agents’ access to corporate systems, along with potential milestone payments, as reported by an insider.

Established three years ago, Clutch was valued at $85 million following a $20 million Series A funding round led by Lightspeed and SignalFire in January 2025. The startup is nearing $10 million in annual recurring revenue (ARR), suggesting that if the acquisition proceeds, it would value Clutch at roughly 50 times its ARR, a common valuation metric in the software sector.

Both Palo Alto Networks and Clutch Security have not provided comments on the ongoing discussions. The Information was the initial source to disclose these acquisition talks.

The substantial valuation aligns with a growing market focus on protecting software from threats posed by AI-driven breaches. Recently, Upwind, which utilizes AI for cloud infrastructure security, declined a $40 times ARR acquisition offer from DataDog, according to reports from TechCrunch.

Should this agreement be finalized, it would mark Palo Alto Networks’ seventh acquisition in 2023, as per PitchBook. The cybersecurity leader has a trend of acquiring innovations rather than developing them internally, intensifying its acquisition strategy this year due to the rise in AI-related cyber threats.

In September, Palo Alto Networks purchased Console, a startup that leverages AI agents to streamline routine IT help desk functions. This deal was valued at $500 million in stock and cash, as reported by TechCrunch. Other acquisitions this year include NEA-backed Embrace for $325 million, Chronosphere, a monitoring platform backed by Greylock and Lux Capital for $2.95 billion, and Koi, a cybersecurity firm supported by Battery and Team8 for $231 million, according to regulatory documents.

Clutch’s competitors have also seen acquisition activity. For instance, Cyera, a cybersecurity startup valued at $12 billion earlier this year, acquired Oasis Security, which, like Clutch, specializes in managing AI agents’ access to systems, for $1 billion. Additionally, Cisco acquired Astrix, which was backed by Menlo Ventures, for approximately $400 million, according to reports from Calcalist.
