Nvidia Considers Partnering as a Backer for Nscale’s AI Data Center Project in West Virginia

Nvidia is currently negotiating to secure billions in debt financing for Nscale, an AI cloud provider planning a major data center in West Virginia, as reported on Thursday. Bloomberg has since confirmed this information. Nscale’s IPO filing reveals that Anthropic has signed a substantial contract worth $44.6 billion for the initial building of this project. Essentially, Nvidia would act as a co-signer for Nscale’s loans, highlighting the intense efforts within the AI sector to sustain its growth ambitions amid rising investor concerns over financial commitments.

This financing arrangement is intended to assist Nscale in covering the electricity and construction expenses for its campus in West Virginia. Under a structure known as a residual value guarantee, Nvidia would intervene if Nscale fails to meet its construction payment obligations. This would involve temporarily managing the facility and facilitating a new buyer and tenant, as detailed by sources.

To date, Nvidia’s backing for cloud providers has predominantly focused on lease agreements and chip acquisitions rather than construction financing.

Nscale is facing significant challenges as it aims for an IPO valuation of up to $35 billion, with growing skepticism regarding its capacity to fulfill ambitious data center plans.

The agreement with Anthropic focuses on the first 460-megawatt building at Nscale’s West Virginia campus, which is set to utilize Nvidia’s latest Vera Rubin chips. Additionally, the companies are exploring a second agreement valued at approximately $45 billion for another facility.

Nscale has encountered difficulties in launching its initiatives. As of August, the company operated about 25,000 advanced AI chips, a mere fraction of its target of nearly 500,000. Furthermore, the West Virginia campus has faced issues, including runoff from construction that has flooded neighboring homes on several occasions. After extensive negotiations, the project finally received state certification in September.

Recently, Microsoft withdrew from a planned Nscale site in England, as the necessary grid power is not expected to be available until the 2030s.

Nvidia has been a considerable financial supporter in the AI sector, reportedly providing around $170 billion in investments and credit support to new cloud companies and major customers. This includes a $1 billion commitment in convertible financing to Nscale last month.

Neoclouds, which lease out AI computing power without substantial established businesses behind them, are facing increased investor scrutiny. Recent reports indicate that shares of companies like CoreWeave, Nebius, and IREN have each dropped over 30% in October.

The proposed financial guarantee would reinforce Nvidia’s economic ties to Nscale while also securing a vital client for its chips. Anthropic, being one of the largest consumers of AI computing resources, has diversified its infrastructure investments across various chip manufacturers. One investor suggested that Anthropic’s involvement might be a significant factor in Nvidia’s determination to support Nscale’s plans.

The discussions are particularly timely as Anthropic is facing its own challenges regarding financing its rapid expansion. The company has recently filed for an IPO, but Blackstone has cautioned investors that it could be assigned a below-investment-grade credit rating post-IPO. Such a rating would likely increase Anthropic’s borrowing costs and compel it to continue relying on more financially robust partners for support.
